SWEEPSTAKES DESCRIPTION: The Sweepstakes is a promotion in which a number of events ("Events") will be held during the QuakeCon Tournament and Exhibition in Dallas, Texas July 31-August 3, 2008 ("QuakeCon"). Winners of the Events will have their names entered in a drawing ("Drawing") to win the Grand Prize described below. The Drawing will be held on Saturday, August 2, 2008 at QuakeCon at or after 11:00 pm local time. You must be present to win. The sponsor ("Sponsor") of the Sweepstakes is Flagship Industries, Inc. - Ventrilo.com.

ABOUT QUAKECON: QuakeCon is a free convention held every year in the Dallas, Texas area, attended by computer gamers, who come to play with their friends on a giant self-contained gaming network and to compete in world class tournaments. Latest gaming technology and games are also on display. There is no fee to attend QuakeCon, to participate in its tournaments or to visit the vendor booths or displays. However, every person seeking entrance to the venue must register for QuakeCon and receive the official QuakeCon badge. No one without a QuakeCon badge will be admitted to the venue, this year held at the Hilton Anatole Hotel in Dallas, Texas. QuakeCon is sponsored by id Software.

ELIGIBILITY: The Sweepstakes is only open to legal residents of the United States, its territories and possessions and the District of Columbia, who are 18 years old or older, and who are registered to attend 2008 QuakeCon and whose registrations have not been revoked (each an "Eligible Participant"). Officers, directors, partners, members, shareholders, employees and agents of Sponsor and the volunteers serving as QuakeCon Executive Directors, QuakeCon exhibitors and sponsors, and employees and contractors of Charisma + 2, Flagship Industries, Inc. and id Software, and each of their respective parent companies, subsidiaries, affiliates, advertising and promotional agencies and their respective immediate family members and persons living in the same households as any of the foregoing are ineligible to participate in the Sweepstakes. Immediate family members mean the parents, stepparents, children (natural born, adopted or stepchildren), spouses, spouse's siblings, siblings and siblings' spouses of such parties.

REGISTRATION: No separate registration is necessary to participate in the Sweepstakes so long as you are registered to attend 2008 QuakeCon and your registration has not been revoked.

By entering the Ventrilo Ultimate Power Up Sweepstakes at 2008 QuakeCon (the "Sweepstakes"), you agree to abide by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all respects.

HOW TO PARTICIPATE / WINNER DETERMINATION: The Sweepstakes will start simultaneously with the opening of QuakeCon and end at the conclusion of tournaments in play at or just prior to 11:00 PM on August 2, 2008 ("Sweepstakes Period").

Challenges:

The Sweepstakes winner ("Winner") will be determined by a random drawing from a pool of names (the "Pool") of Eligible Participants who have won a variety of challenges ("Challenges") conducted by QuakeCon personnel throughout QuakeCon. For example, a Challenge may consist of two Eligible Participants competing against one another in a computer game. The name of the winner of the game will go into the Pool. Another may consist of two two-person teams competing against one another in a computer game. The name of each member of the winning team will go into the Pool. Individuals will be asked to perform personal Challenges. If they do so, their names will go into the Pool. These are examples only and the Challenges may consist of different events.

The selection of the Eligible Participants to enter into all of the Challenges will be made at random from among those Eligible Participants nearby the QuakeCon personnel who are conducting the Challenges. Challenges will be conducted at periodic intervals during the Sweepstakes Period. It is anticipated that sufficient Challenges will be conducted so as to produce 250 Challenge winners whose Tickets, defined below, will go into the Pool.

Each Challenge winner will be given a raffle ticket ("Ticket") consisting of two halves with identical numbers on each half. Each Challenge Winner should write his or her name on each half of the Ticket in the place provided. The Challenge Winner should keep one half of the Ticket. QuakeCon personnel are responsible for seeing that the other half is placed in the Pool receptacle in order to be eligible for the Drawing. Sponsor is not responsible for lost, stolen, mislaid or missing Tickets or for Tickets which are not placed in the Pool receptacle. In order to win, an individual must be present at the Drawing and must have his or her matching Ticket with him or her.

Drawing: At 11:00 PM, on Saturday, August 2, 2008, or at such later time as is announced at that time if necessary to permit tournaments still in play at that time to conclude, the Drawing will be held. A representative of the Sponsor (which may include its designee) will draw one Ticket from the Pool. If the person holding the other half of the Ticket is present, and has the other half of the Ticket with him or her, that person will be the Winner of the Grand Prize, subject to completion of the Affidavit/Release described below. If the person is not present or does not have the matching Ticket with him or her, Sponsor will continue to draw individual Tickets, one at a time, until a qualified Ticket of a person present, with the matching Ticket half with him or her, is drawn.

PRIZES: One (1) Grand Prize. The Winner will win the following:

(a) A 2008 Corvette Coupe C6 (the "Vehicle") (Total Estimated Retail Value $55,000).

(b) At Winner's option, delivery of the Vehicle to the Winner's designated destination anywhere in the 48 continental United States or the District of Columbia.

Sponsor makes no representation as to condition, warranties, fitness for a particular purpose or use, and any warranty, express or implied, is hereby excluded and disclaimed, including implied warranties of fitness for a particular purpose. Sponsor further makes no representations with respect to the vehicles, mileage or compliance with safety or omission laws or regulations. The prize is provided "as is" with no warranty or guarantee, either express or implied by Sponsor. The Winner must provide proof of insurance required by the laws of his or her state of residence, prior to delivery of the Vehicle.

ODDS OF WINNING: The odds of winning depend upon the number of eligible QuakeCon registrants and the number of eligible Tickets received.

AFFIDAVIT/RELEASE: Prior to receiving the Grand Prize, the purported Winner will be required to complete and return an Affidavit of Eligibility/Liability/Publicity Release. If any purported Winner (i) does not return the Affidavit of Eligibility/Liability/Publicity release completed and signed within one (1) day of date of prize notification(or within five (5) days if the Winner is less than 21 years old, as the Affidavit of Eligibility/Liability/Publicity Release must be executed on behalf of such minor by such minor's parent or legal guardian); or (ii) the purported Winner is otherwise not in compliance with these Official Rules, the purported Winner will be disqualified and, Sponsor may, at its sole discretion, convert the Prize to cash and donate the cash to a charity of Sponsor's choice.

If you accept a prize, you agree that Sponsor and its designees shall have the right to use your name, city, state of residence, your biographical information, statements, likeness, image, voice, voice likeness and photograph in any and all media now or hereafter known worldwide in perpetuity, without additional compensation, notification or permission, unless prohibited by law.

CODE OF CONDUCT: Anyone competing in an unsportsmanlike manner or in a manner that is not in compliance with these Official Rules may be immediately disqualified from this Sweepstakes. Unsportsmanlike conduct includes, but is not limited to, the following violations:

• Swearing or threats
• Screaming Harassment
• Lewdness
• Any other type of conduct deemed inappropriate
• Cheating of any sort through various means
• Any other known or unknown way of tampering with the Sweepstakes

LIMITATION OF LIABILITY: Sponsor is not responsible for: (1) lost, late, misdirected, undeliverable or incomplete registrations; (2) technical failures of any kinds; (3) failures of any of the equipment or programming associated with or utilized in the Sweepstakes; (4) unauthorized human and/or mechanical intervention in any part of the registration process or the Sweepstakes; (5) technical or human error, including but not limited to errors which may occur in the administration of the Sweepstakes, the processing of registrations or the delivery of Tickets from winning Challenges to the Pool receptacle by Charisma + 2 employees and contractors after a Challenge; or (6) any injury or damage to persons or property, including computer equipment, which may be caused, directly or indirectly, in whole or in part, from participation in the QuakeCon, the Sweepstakes or receipt or use of the Prize or delivery thereof. No liability or responsibility is assumed by Sponsor resulting from any Eligible Participant's participation in or attempt to participate in the Sweepstakes or ability or inability to upload or download any information. No responsibility or liability is assumed by the Sponsor for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: hardware or software errors or malfunction; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems or failures; errors or limitations of any Internet service providers, servers, hosts or providers; incomplete, garbled, jumbled or faulty data transmissions, incorrect or inaccurate entry information, whether caused by the Sponsor, users, or by any of the equipment or programming associated with or utilized in the promotion or by any technical or human error which may occur in the processing of submissions which may limit a person's ability to participate in QuakeCon or the Sweepstakes; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the QuakeCon Website in whole or in part for any reason; traffic congestion on the Internet or on the QuakeCon Website; unauthorized human or non-human intervention of the operation of QuakeCon or the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of an e-mail account used in connection with QuakeCon or the Sweepstakes. Sponsor is not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained in these Official Rules or collateral material referring to the Sweepstakes.

By entering, persons and prize recipients agree to abide and be bound to these Official Rules, and agree to hold harmless and indemnify Flagship Industries, Sponsor, id Software, QuakeCon, Charisma + 2 and each of their respective officers, directors, partners, members, shareholders, employees and agents and each of their respective parent companies, subsidiaries, affiliates, advertising and promotional agencies ("Released Parties") from and against any and all liability, damages or causes of action (however named or described), with respect to or arising out of either (i) a person's participation in the Sweepstakes, and/or (ii) the receipt or use of the prizes awarded in the Sweepstakes.

THE WINNER ASSUMES ALL RISK AND LIABILITY FOR THE OPERATION OF THE VEHICLE AFTER DELIVERY AND RECOGNIZES THAT THE HIGH-PERFORMANCE NATURE OF THE VEHICLE CARRIES THE POTENTIAL FOR HARM, DAMAGE, INJURY AND LOSS OF LIFE AND AGREES TO HOLD EACH OF THE RELEASED PARTIES HARMLESS FROM ANY DAMAGES RESULTING FROM HIS OR HER ACCEPTANCE, OPERATION OR USE OF THE VEHICLE. IN NO EVENT WILL RELEASED PARTIES OR ANY OF THEM BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR SPECIAL DAMAGES OR LOSSES OF ANY KIND (INCLUDING LOST PROFITS) RELATING TO THIS SWEEPSTAKES (OR THE GRAND PRIZE AWARDED OR RECEIVED AS PART OF SWEEPSTAKES), INCLUDING BUT NOT LIMITED TO, CLAIMS ARISING FROM BREACH OF CONTRACT, BREACH OF WARRANTY, TORT, (INCLUDING NEGLIGENCE, PRODUCT LIABILITY OR STRICT LIABILITY) OR ANY OTHER THEORY OF LIABILITY. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

PRIVACY: By entering, an Eligible Participant agrees that should he or she be selected as the Winner, Sponsor may disclose their name, city and state on any websites, including but not limited to Ventrilo.com, idsoftware.com, quakecon.org, and identify him or her as the Winner of the Sweepstakes The Winner's personal information, provided in conjunction with Sweepstakes, will be utilized by and/or its representatives for the purpose of selecting the winner and awarding the Grand Prize and will be kept as long as required by law.

OTHER CONDITIONS: Sponsor may prohibit a person from participating in the Sweepstakes or winning a prize if, in Sponsor's sole discretion, it determines that said person is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices, intending to annoy, abuse, threaten or harass any other persons or Sponsor's representatives, or otherwise violating the Code of Conduct. If for any reason this Sweepstakes is not capable of running as planned due to any cause beyond the reasonable control of the Sponsor which corrupts or affects the administration, security, fairness, integrity or proper conduct of the Sweepstakes, then Sponsor reserves the right at Sponsor's sole discretion to cancel, terminate, modify or suspend all or any part of the Sweepstakes and to select potential winners from among all Eligible Participants up until the time of such cancellation, termination, modification or suspension, as applicable. CAUTION: ANY ATTEMPT BY ANY ONE TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK CIVIL AND/OR CRIMINAL PROSECUTION AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW. All Tickets become the sole property of the Sponsor and none will be returned. Tickets that are lost, late, or stolen for any reason will not be eligible. All prizes are non-transferable to any other person, including relatives or friends. Winners are solely responsible for all applicable federal, state and local taxes, include sales, use and income tax, and license, registration and title fees and any expenses associated with the Prize, unless otherwise indicated. Winner will be issued a Form 1099, reporting the value of the Vehicle and delivery service as "other income." Winner will likely have to pay tax on this income. Winner must coordinate transfer of title and license with the dealer from whom the Vehicle was purchased. No substitution, cash equivalent or transfer of Prize permitted, except at the Sponsor's option, for a prize of comparable or greater value. Sponsor will not replace any lost, stolen or malfunctioning prize once it is in the winner's possession. Where permitted by law, in consideration for being awarded a prize, winners and prize recipients hereby agree and consent, without further authorization, compensation or remuneration of any kind, to the use of their names and/or likenesses in any and all advertising, promotions and other publicity conducted by Sponsor.

DISPUTES: (a) Choice of Law. This Sweepstakes, and the rights and obligations thereunder, will be governed by and construed in accordance with the laws of the State of Texas, excluding conflicts of law rules which might apply the law of a different jurisdiction. (b) Good Faith Negotiations. Best efforts will be used to resolve any and all claims and disputes arising under the Sweepstakes through good faith negotiations and without initially resorting to litigation, arbitration or other similar proceedings. (c) Mediation. If the parties to a dispute hereunder are unable to resolve such claim or dispute via good faith negotiations, the parties will agree, prior to commencement of any legal action or suit, to submit to at least one day of non-binding mediation in St. Louis, Missouri with a mediator chosen jointly and paid for equally by the parties. (d) Litigation and Venue. Any legal action, suit, or proceeding with respect to the Sweepstakes will be brought exclusively in federal court in St. Louis, Missouri and each party consents to the jurisdiction of said court for all matters that arise under said Sweepstakes. All costs for legal representation in suits in which Sponsor is named as defendant shall be paid by each respective party regardless of the outcome of the suit. Except where prohibited, any and all legal action, suit or proceeding with respect to the Sweepstakes will be resolved individually, without respect to any form of class action.
